Terms of Service
The following terms and conditions govern the use of the Interclinical.com.au website and all its content, services and products, available at or through the website (taken together, the Website). The Website is owned and operated by InterClinical Laboratories Pty Ltd (“InterClinical”). The Website is offered subject to your acceptance without modification, of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, InterClinical ‘s Privacy Policy) and procedures that may be published from time to time on this Site by InterClinical (collectively, the “Agreement”).
Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by InterClinical, acceptance is expressly limited to these terms.
Price Guide
Prices are valid at time of printing, but are also subject to change without notice due to circumstances beyond the control of InterClinical. These changes includes fluctuations in raw material costs. For current prices please refer to invoice.
Practitioner Requirements
Practitioner products and information are available only to qualified practitioners who have undertaken formal training in ingestive medicine. InterClinical reserves the rights to request copies of qualifications and association memberships to be submitted for verification upon registration.
InterClinical products may not be advertised without prior written authorisation. This applies to print or electronic media.
Prohibited Uses of the Site
You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site:
- In any way that violates any applicable federal, state, local or international law or regulation.
- For the purpose of exposure to inappropriate content, asking for personally identifiable information or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.
- To impersonate or attempt to impersonate InterClinical, an InterClinical employee, another user or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
Your Limited License to our Intellectual Property
The materials used and displayed on the Sites, including but not limited to text, software, photographs, graphics, illustrations and artwork, video, music and sound, and names, logos, trademarks and service marks, are the property of InterClinical Laboratories Pty Ltd., or its affiliates or licencors and are protected by copyright, trademark and other laws. Any such content may be used solely for your personal, non-commercial use. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material without the prior written permission of InterClinical Laboratories Pty Ltd.
InterClinical Laboratories Pty Ltd. grants you a personal, non-exclusive, non-transferable, revocable license to use the Sites and any materials on the site for non-commercial purposes subject to these Terms of Use.
We have the right to:
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the content standards below, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site.
Third-Party
We do not review or monitor any websites, advertisements, or other media linked to or available through the Sites and are not responsible for the content of any such third-party advertisements or linked websites. Prior to purchasing any third-party products or services described on the Sites, you are advised to verify pricing, product quality and other information necessary to make an informed purchase.
Neither InterClinical Laboratories Pty Ltd nor any of its subsidiaries, divisions, affiliates, agents, representatives or licensors shall have any liability arising from your purchases of third-party products or services based upon the information provided on the Site, and we shall not receive or review complaints regarding such purchases.
Our Right to Modify These Terms of Use
InterClinical reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. InterClinical may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
Miscellaneous
This Agreement constitutes the entire agreement between InterClinical and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of InterClinical, or by the posting by InterClinical of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the New South Wales, Australia, excluding any conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Sydney, Australia.
If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by its terms and conditions; InterClinical may assign its rights under this Agreement without condition.
